Terms and Conditions

Effective Date: September 14, 2026

These Terms and Conditions ("Terms") govern access to and use of the reputation management and review-request services (the "Services") provided by Flagstone Studios, LLC ("Company," "we," "us"), a Washington limited liability company with a principal place of business in Kirkland, Washington. By creating an account, purchasing a subscription, or otherwise using the Services, the person or business entering into these Terms ("Client," "you") agrees to be bound by them.

1. Scope of Services

Company sends review-request communications (SMS, email, and/or other electronic messages) to Client's customers on Client's behalf, and provides integrations with Google Business Profile, other review platforms, and Client's CRM (including GoHighLevel sub-accounts) to automate that process. Client may customize default messaging content and send cadence; where Client does not customize them, Company's default scripts and cadence apply.

The Services are limited to review solicitation and related automation. They do not include ongoing reputation monitoring, responding to reviews on Client's behalf, or any guarantee of review outcomes, unless separately agreed in writing.

2. User Representations and Registration

Client represents that account and billing information provided is accurate and current, that Client has authority to bind the business named on the account, and that Client will not use automated means to access the Services outside of the provided integrations. Client is responsible for safeguarding login credentials and for all activity under its account.

3. Purchases, Payment, and Subscriptions

Fees, billing frequency, and payment method are as stated at signup or in a separate order form/service agreement. Subscriptions renew automatically for successive billing periods until cancelled. Client authorizes recurring charges to the payment method on file. Company may change subscription fees with at least 30 days' notice before the change takes effect on a renewal.

Cancellation must be requested by the verified account owner and is effective at the end of the then-current billing period. Fees already billed are non-refundable except as required by law or as separately agreed.

4. Client Responsibilities

Client is solely responsible for:

Obtaining and documenting valid consent from its end customers before Company sends any SMS, email, or other message on Client's behalf;

Ensuring contact lists uploaded or connected are accurate, lawfully obtained, and current (including honoring opt-outs already received);

Compliance with applicable laws governing electronic messaging and data privacy, including the TCPA, CAN-SPAM, CTIA messaging guidelines, and, where applicable, GDPR, CCPA/CPRA, and CASL;

Maintaining any third-party integrations (Google Business Profile, CRM, GoHighLevel sub-account) needed for the Services to function.

Client bears sole legal responsibility for consequences arising from its failure to meet these obligations, and Company may suspend the Services immediately if it reasonably believes Client has not done so.

5. Messaging Content, A2P Registration, and Automation

Client authorizes Company to send messages on Client's behalf using Client's business identity (business name, and where applicable, the Client's own registered sender ID/phone number). Where messages are sent via SMS over U.S. carrier networks, Client acknowledges that A2P 10DLC brand and campaign registration — including a published Privacy Policy and these Terms — is required by carriers and by GoHighLevel's messaging provider before SMS volume will be delivered reliably, and that registration details (business legal name, EIN, address, sample message content) must be accurate and match Client's public-facing business information.

Default messaging scripts and cadence are deemed approved unless Client customizes them. Client is responsible for the content of any customized messages. Company is not liable for message deliverability, carrier filtering, or the effect of message content on Client's customer relationships.

6. Data Use and Storage

Company stores Client and end-customer data as reasonably necessary to provide the Services. Data is not automatically deleted upon cancellation; Client may request deletion in writing, and Company will complete the request within a commercially reasonable time, subject to legal retention requirements.

7. Third-Party Platforms

The Services integrate with third-party platforms (e.g., Google Business Profile, GoHighLevel, carriers). Company does not control and is not responsible for those platforms' availability, policies, or changes. Client's use of linked third-party accounts remains governed by that platform's own terms.

8. Service Limitations; No Guarantees

Company does not guarantee any specific number, rating, or content of reviews, or any particular improvement in Client's online reputation. Company does not guarantee uninterrupted or error-free operation of the Services and is not responsible for outages, fee changes, or policy changes imposed by third-party platforms or carriers.

9. Term, Termination, and Suspension

Either party may terminate as provided in the applicable order form or, absent one, on 30 days' written notice. Company may suspend or terminate the Services immediately for material breach, suspected unlawful use (including sending messages without valid consent), non-payment, or security risk. No refunds are owed for termination for cause.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Company will not be liable for indirect, incidental, consequential, special, or punitive damages. Company's total liability arising out of the Services will not exceed the fees paid by Client in the one (1) month preceding the claim.

12. Indemnification

Client agrees to indemnify and hold Company harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from: (a) Client's failure to obtain valid consent from end customers; (b) Client's breach of these Terms or applicable law; (c) content Client supplies or customizes; and (d) Client's use of the Services in violation of a third party's rights.

13. SMS Text Messaging (Consent and Opt-Out)

Where Company communicates with Client (not Client's end customers) by SMS regarding the Services, Client may opt out at any time by replying STOP. Message and data rates may apply. For support, contact [email protected] or (425) 691-6667.

14. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms.

15. Miscellaneous

These Terms, together with any order form or service agreement, are the entire agreement between the parties on this subject and supersede prior understandings. If any provision is held unenforceable, the remaining provisions stay in effect. Company's failure to enforce a right is not a waiver of it. Company may update these Terms with reasonable notice (e.g., email or posting the updated date on this page); continued use after the effective date constitutes acceptance. Headings are for reference only and do not affect interpretation.
